IP - who is this?

It is most expedient to become an individual entrepreneur, or an individual entrepreneur, for those who want to conduct business as an individual, that is, without forming a legal entity.
What is the difference? The fact that legal entities must have an authorized capital and a legal address. An individual entrepreneur is exempt from these conditions, however, there is one important point here - according to the law, an individual entrepreneur must be liable for obligations with all his personal property.

How does an individual entrepreneur differ from a private person working without registration, what is called “for himself”?

Firstly, when registering an individual entrepreneur, the length of service is credited. Secondly, illegal employment is punishable. Well, and thirdly, if the activity is related to the wholesale purchase of goods, then many firms do not provide for deliveries for private traders.

Who can be registered as an individual entrepreneur?

  • All adult capable citizens of the Russian Federation;
  • Minor citizens recognized as capable by the relevant authorities;
  • Minor citizens who have permission to engage in entrepreneurial activities from their parents or guardians;
  • Foreigners, with a temporary or permanent Russian residence permit.

Are there any exceptions? Yes, I have! The legislation of the Russian Federation prohibits the opening of individual entrepreneurs to citizens who are in the state and municipal service. For all other working citizens, there are no obstacles in terms of registering an IP.

What you need to open an IP - the first steps!

Registering an individual entrepreneur is not really difficult for you. But first, you will need to take a number of actions that will allow you to carry out the registration procedure without delay in the future.
The fact is that even before submitting documents to the relevant authorities, it is necessary to decide on some fundamental points.

1. Select activities.
There is the All-Russian Classification of Economic Activities (OKVED), in which each type of activity is assigned a specific code. Therefore, the future entrepreneur needs to choose the scope of his activity and, based on this, determine its OKVED code.
An important point: you can specify several codes, but the code of your main activity must be specified first. It is not forbidden to select several codes at once with an eye to the future expansion of activities.
If, in fact, any activities are not carried out, no sanctions from the tax and other structures will follow. And when a favorable moment comes to expand the business, it will not be necessary to go to the tax office again in order to make changes or additions to activity codes.

2. Determine how we will pay taxes.
This issue also needs to be resolved in advance so as not to delay the registration process in the future. The most optimal solution for individual entrepreneurs is the simplified taxation system (STS).
Here it will be necessary to make a choice of the object of taxation. There are two of them: "income" and "income minus expenses." In the first case, the tax rate will be 6% on all your business income. If the second option is chosen, then the rate, depending on the region, will vary from 5 to 15%.
In addition to the simplified tax system, the Patent Taxation System (abbreviated as PSN), the Single Imputed Income Tax (UTII) and some other special tax regimes, depending on the type of activity, may be convenient for individual entrepreneurs.

3. Get a TIN.
It is advisable to obtain a TIN in advance - taxpayer identification number. If it already exists, it’s good, if not, then we submit an application to the tax office at the place of registration to receive it.
Obtaining a TIN can be timed to coincide with the submission of documents for registration of IP, but this may somewhat delay the registration period.

4. Pay the state duty.
For registration of IP, you must pay a state fee. You can do this at any branch of Sberbank. For several years now, the amount of the fee has remained within the limits of 800 rubles. However, you should know that a bill has already been submitted to the State Duma to increase the fee for registering entrepreneurial activities. So it is not surprising if soon this amount will change upwards.

Collection of documents for registration of IP!

So, all the preparatory measures have been taken, we are starting to collect together all the documents that are needed to open an individual entrepreneur: a passport, a photocopy of a passport, a receipt for payment of state duty, a TIN and a copy of it, a completed application for registration of an individual entrepreneur - it can be downloaded on the website of the Federal Tax Service (form P21001), or take the form at the nearest tax office.

A few words should be said about completing this application. The fact is that, despite the sufficient simplicity of the form, it is easy to make a mistake in filling it out. Onward to the tax office!

So we came directly to the registration of an individual entrepreneur, that is, to a visit to the tax office. But not the first one that came across, but the one that is located at the place of your official registration. The actual place of residence does not play a role in this.

Example: you are registered in Khabarovsk, but live in Moscow, where you are going to conduct your business. Documents for registration of individual entrepreneurs must be submitted in Khabarovsk! It is in this case that it becomes necessary to resort to the help of e-mail (through special services), intermediaries by proxy or the services of the Russian post.
If there is no permanent residence permit in the passport, it is allowed to issue an IP at the address of temporary registration.

Also, you can immediately receive documents on registration with the Pension Fund, TFOMS and notification of the assignment of codes in the statistical authorities. If they are not issued by the tax authorities, then you will need to go to all these authorities in order to collect a complete package of all the listed documents.

When the documents are received, you can start doing business as an individual entrepreneur within the types that were indicated.
However, there are cases when, following the results of consideration of documents, citizens are denied opening an IP. In particular, this happens due to incorrectly specified information or an incorrectly completed application. In any case, the refusal must be motivated.
If this happens, then the entire procedure for submitting documents will have to be repeated, while the state duty will need to be paid again, in the same amount.

We open IP - the price of the issue!

The simplest, but also the most expensive way of registering an IP is to delegate the solution of this issue to specialized firms. The correct choice of OKVED is not a mere formality: there are a number of activities for which an entrepreneur can be provided with some preferential conditions for his business activities. Therefore, it is in your interests to approach this matter with all responsibility.

The application is filled out in the form P21001 (you can take it from the tax office or download it on the Internet). Your personal data and pre-selected OKVED codes are entered there. If you submit the application yourself (not by mail or through a proxy), then the notary’s signature can not be certified, although in order to avoid filling out errors (and there can be many of them, despite the seeming simplicity of the document), it is still recommended to contact this specialist . It will cost several hundred rubles: a quite reasonable price in exchange for ensuring that the application is accepted the first time. Copies of all pages of the passport should also be certified there.

The state duty for opening an individual entrepreneur is now 800 rubles. This payment can be made at any branch of the bank, the main thing is not to lose the receipt. So, what does the package of documents submitted to the tax office include:

  • IP registration application;
  • Copies of all pages of the passport (including empty ones);
  • Copy of TIN (if any);
  • Receipt for payment of contribution to the treasury, that is, state duty.

If you do not have a TIN, then in parallel you can apply for registration, although usually this document is done when the IP registration is already underway (within 5 days after the submission of the relevant application), or even after registration is completed. This point can be clarified with an employee of the tax inspectorate.

Please note: you need to submit documents to the IFTS according to your registration address, that is, taking into account the territorial affiliation of the tax. Otherwise, your application will be rejected and you will lose time.


So, the reasons for the refusal to register an IP:

  • The wrong body of the IFTS was selected;
  • Documents are incorrectly drawn up;
  • Not the entire package of documents has been submitted;
  • One year has not passed since the day you were declared bankrupt (for the previous type of economic activity);
  • The ban imposed on your business activities by the court is in force.

In addition, for a person who has not reached the age of majority, there must be a conclusion of the court or guardianship authorities, indicating that he has reached the state of full legal capacity. The marriage of a person under the age of 18 is also considered a condition for providing the opportunity to open an individual entrepreneur.

In all other cases, subject to consultation with a notary on filling out an application for registration of an individual entrepreneur, you are guaranteed a positive response. The deadline for registering an individual entrepreneur in the tax office is five working days. You will receive two documents: OGRNIP and EGRIP plus TIN, if a corresponding application was submitted. They can be handed over to you either in person or by mail at the place of residence. It is better, of course, to pick up such securities yourself.

Next, you will need to decide on the tax system. Many individual entrepreneurs choose the simplified tax system (“simplified”), but pay attention to the fact that since 2013 it has been called the patent taxation system. If you plan to work closely with companies that take into account VAT in prices, then you are better off choosing OSN (main system). Then the income tax will not be 6%, as in the case of the "simplified", but 13%. Plus property tax, personal income tax, VAT and other deductions. However, if you plan to hire more than 15 employees, DOS is unavoidable. UTII ("imputation") is now rarely used, this issue is resolved in the municipality.

If you choose the simplified tax system, and at the same time your expenses (according to estimates) will be 60% of income or more, then it makes sense to choose a tax not of 6%, but of 5-15%. Then the rate will be calculated individually and multiplied not by the amount of profit, but by the difference between income and expenses. On this issue, it makes sense to consult an economist.

When choosing a taxation system other than the DOS, which is applied by default, you will need to write an appropriate application, and within a few days the procedure will be completed. You will then acquire tax reporting obligations as part of your business activities.

Registration of individual entrepreneurs in the Pension Fund of the Russian Federation and the Social Insurance Fund

After receiving the relevant documents, you will need to apply to the pension fund. The tax office will inform you about the "birth" of a new entrepreneur immediately, but you will need to come in order to clarify the amount of mandatory monthly insurance premiums, which will ensure your retirement future. To obtain the necessary details, you will need copies of the following documents:

  • OGRN;
  • USRIP;
  • SNILS;
  • Passport.

If you hire employees (become an official employer), then an employment contract, a work book and SNILS (payer certificate) are additionally provided to the PF, and in addition, you will also have to register with the FSS. You can register with the FSS (social insurance) even if you personally need vacation, maternity leave or sick leave. In a word, registration with the FSS provides additional social guarantees. Contributions to both the PF and the FSS can be paid either every month, or immediately pay the amount for the entire year. The staff will help you calculate it. Do you need a business account?

Additionally, you will have to register with Rosstat. It will also take a maximum of several days, and at the end of the procedure you will receive an extract that you will need to present at the bank when opening a current account (r / s) of an individual entrepreneur. R / s is not a prerequisite for registering an individual entrepreneur, however, if you plan to receive significant amounts from counterparties under one contract, the law obliges you to this formality. Registration of IP without registration in Moscow is possible if the passport does not contain permanent registration at the place of residence, but only temporary registration in Moscow. If you have a permanent registration in another region of the Russian Federation, then you can register an IP remotely. How to open an IP

Almost any capable citizen of the Russian Federation or a foreigner with a Russian residence permit can register as an individual entrepreneur. Who can register as an individual entrepreneur

Adult citizens who do not have mental and other diseases affecting their legal capacity (for some types of activities - without a criminal record) can conduct entrepreneurial activities as individual entrepreneurs. Minors from 14 to 18 years old can register an individual entrepreneur with the consent of legal representatives or having received emancipation - recognition of legal capacity by guardianship authorities or a court.

Falling under one of the criteria, the right to open an individual entrepreneur is: foreign citizens who have temporary registration or residence permit in the territory of the Russian Federation, and stateless persons (stateless persons), women on maternity leave, pensioners, founders of an LLC and officially employed citizens who do not work in the public service.

Select activity codes according to OKVED

OKVED - All-Russian classifier of types of economic activity, in which each type of activity corresponds to a numerical code. When submitting an application for registration, the future individual entrepreneur indicates the OKVED codes in it and thus informs the state bodies of what he will do.

According to OKVED codes, activities are divided into classes, subclasses, groups, subgroups and types proper. Finding specific codes for a business can be tricky. For example, leisure and entertainment activities are included in several different classifier groups - you can choose only one, or you can choose several. The number of OKVED codes to choose from is not limited, but one of them must be specified as the main one. It is assumed that it is from the corresponding type of activity that the business will receive the main income. After registration, the IP has the right to add new codes and remove irrelevant ones from the list.

The main OKVED code affects insurance rates: the more risky the type of activity, the higher the insurance premiums for employees. If the individual entrepreneur does not submit confirmation to the tax office, and they find out that the main income comes from another type of activity, the entrepreneur will be set the highest insurance rate from the corresponding selected codes. And here the OKVED codes indicated “just in case” may turn out to be inappropriate.

Important:

If the selected activities relate to the social sphere and are especially related to working with minors, a certificate of no criminal record will be required to register an individual entrepreneur. It is better to request it in advance, as the answer is prepared within 30 days. Also keep in mind that individual entrepreneurs do not have the right to engage in: the production and sale of alcohol, military and space technology, medicines; air transportation; foreign employment of citizens; work of investment funds and private security companies. And some activities will require a license. If an individual entrepreneur does not operate according to the selected OKVED codes without notification (or in case of late notification) of the tax authority, he faces a fine of up to 5 thousand rubles. In addition, this may lead to a loss of confidence in the bank and the restriction of operations on the account.

Choose a taxation system

An individual entrepreneur can choose a general taxation system (OSNO) or one of the special regimes: a simplified system (STS), a single tax on imputed income (UTII), a single agricultural tax (ESHN) or a patent system (PSN). OSNO is applied by default if the IP does not switch to special mode. The difference between the general tax system and special regimes is that 3-5 different taxes are paid on the OSNO, and 1 or 2 taxes on special regimes.

The USN operates in two versions. USN "Income" involves the payment of a single tax in the amount of 6% of income. STS "Income minus expenses" - 15% of the difference between income and expenses. In this case, the annual income of an individual entrepreneur should not exceed 150 million rubles. In order to apply the simplified tax system, a notification of the transition to this special regime must be attached to the package of documents for registering an individual entrepreneur or submitted within 30 days after registration.

UTII is not legally suitable for all individual entrepreneurs - the list of activities in which the regime can be applied is indicated in the Tax Code. UTII involves the payment of a fixed amount as a tax, which depends on various indicators and is also indicated in the Tax Code. From January 1, 2021, the regime will be canceled.

PSN - a regime in which an individual entrepreneur, instead of paying tax, buys a patent for a period of a month to a year, that is, permission to engage in a specific business. The cost of a patent is determined by the state. PSN is suitable for strictly defined activities listed in the Tax Code.

ESHN is intended for individual entrepreneurs, more than 70% of whose income comes from agricultural production. With ESHN, a tax is paid in the amount of 6% of the difference between income and expenses and VAT.

In order to open an individual entrepreneur, you do not need authorized capital and complex constituent documents - you only need to fill out an application for state registration of an individual as an individual entrepreneur (form No. P21001). You can download the current version of the form from the official website of the Federal Tax Service (FTS).

The form is completed in black ink by hand or on a computer - in Courier New font with a height of 18 points - and is signed in advance only if documents are submitted online with an enhanced qualified electronic signature. When submitted in person, the application is signed in the presence of a tax inspector, when submitted through a proxy - in the presence of a notary.

Form P21001 consists of 5 sheets, the 3rd sheet is filled out only by foreigners and stateless persons. Citizens of the Russian Federation do not write anything on the 3rd sheet and do not hand it in at all.

OKVED codes do not have to be written in full, but it is important to indicate at least 4 digits of each.

Pay the state duty

When applying for registration of an individual entrepreneur in electronic form through the Gosulug portal, the MFC or the website of the Federal Tax Service, you do not need to pay a state duty. In other cases, the amount of the fee will be 800 rubles.

You can generate a receipt form using the service of the Federal Tax Service or fill it out manually, having learned the details of the registration authority. Pay - online on the website of the Federal Tax Service or State Services, at a bank or through an ATM.

Collect a package of documents and submit to the registration authority

You can register as an individual entrepreneur only at the place of residence or stay. And submit documents - online or in paper form.

Online submission

  • - without a visit to the tax office, UKEP and payment of state duty. The service allows you to get an electronic signature, upload documents and choose a tax regime without leaving your home. You don’t have to create a package of documents for opening an individual entrepreneur or LLC: the system will do it for you;
  • online through the website of the Federal Tax Service or the State Services using an enhanced qualified electronic signature (ECES). You can get UKEP only in certification centers accredited by the Ministry of Digital Development, Communications and Mass Media of the Russian Federation.

in paper form

  • in the MFC - a multifunctional center of public services, which you will have to visit in person. Not all centers provide the MFC registration service - check in advance whether documents will be accepted at the selected branch;
  • to the tax office that registers the individual entrepreneur at your place of residence (stay) in person or through a representative;
  • by mail with a letter with a declared value and a description of the attachment to the address of the tax office.

The package of documents for registration of IP includes:

  • original passport or notarized copies of all pages, if the documents are submitted by an authorized person;
  • copies of all pages of the passport;
  • a completed application form R21001;
  • receipt of payment of state duty;
  • a notarized power of attorney in the name of the representative, if the documents are submitted by an authorized representative of the future IP;
  • additional documents if an application for registration of an individual entrepreneur is submitted by a minor.

When will the documents be ready?

The application is considered within 3 working days. You can find out if the documents are ready on the website of the Federal Tax Service or at the tax office at the place of residence (stay).

From January 1, 2017, the IP registration certificate is not issued. And since April 29, 2018, paper originals of documents confirming the registration of individual entrepreneurs have not been issued at all: now they exist only in electronic form. Instead, individual entrepreneurs receive a record sheet from the Unified State Register of Individual Entrepreneurs (EGRIP) and a notification of registration of an individual with a tax authority. The tax office sends these documents to the individual entrepreneur by e-mail.

If an individual entrepreneur needs paper copies of documents, he needs to submit a special additional request along with the application. Individual entrepreneurs will be able to receive them personally or through a representative by mail or at the tax office.

Possible reasons for refusal to register an individual entrepreneur

The tax authorities will refuse to register an individual entrepreneur if the applicant is incompetent, declared bankrupt, or already registered as an individual entrepreneur. There are cases when the court may impose a business ban on the applicant.

Errors in registration can also result in a denial, for example, if the P21001 application is filled out incorrectly, the registration authority is incorrectly selected, or a prohibited activity is selected.

Having received a refusal, the applicant has the right to submit documents again.
