Article 410 of the Civil Code regulates various methods of transferring the goods to the buyer, depending on where the transfer of goods takes place and which of the parties is responsible for its transportation. Failure by the seller to fulfill the obligation to transfer accessories to the goods and related documents, as a general rule, gives the buyer the right to refuse to fulfill the sales contract and demand compensation for damages, but the buyer must first set the seller a reasonable time to eliminate the violations. And only if the seller does not transfer the accessories and related documents within the specified period, the buyer has the right to terminate the contract and indemnify for losses.

The seller is obliged to transfer the goods to the buyer in the quantity specified in the sales contract.

By specifying the name and quantity of the transferred goods, the parties thereby determine the subject of the sales contract. Therefore, an agreement in which the quantity of goods sold is not determined is considered not concluded.

To establish the quantity of goods in the contract, it is necessary, first of all, to choose a unit of measurement of quantity (measures of weight (ton of rolled products), volume (barrel), length (meter of rail), area (square meter ... of film). Often the quantity of goods is determined individually, less often in monetary terms.

The quantity of goods sold can be set either by a fixed hard figure, or by indicating the method of determining the quantity (for example, the sale of wallpaper in the amount required for pasting the premises). The latter option is especially often used in supply and power supply contracts.

As a rule, the parties can independently determine the amount of goods sold, but in some cases the law limits the discretion of the seller - the entrepreneur.

These rules are of a general nature and apply, unless otherwise provided by the contract.

The seller is obliged to transfer to the buyer the goods of the corresponding completeness and complete set, if any.

The condition on the completeness of the goods in most cases is determined by the parties by referring to the relevant regulatory and technical documents (state technical conditions, etc.), less often - a listing of all the constituent elements of the goods. If the completeness of the goods is not established in the contract in one way or another, it is usually determined by the customs of business turnover, or by the requirements.

The buyer of incomplete goods has the right to demand from the seller a commensurate change in the purchase price or completion of the goods within a reasonable time. And only if the requirement for completing the goods is not met, the buyer acquires additional rights: to demand replacement of incomplete goods, or to terminate the contract.

The condition for a set of goods is determined by the parties to the contract themselves at their request, since it is impossible to provide for mandatory requirements for the composition of the set by any normative acts. The main requirement for the transfer of the kit is the simultaneous delivery of all things included in it.

Article 431 of the Civil Code does not contain dispositive rules allowing to decide the fate of a sales contract, in which the composition of the set of goods sold is not determined. Violation of the kit condition usually does not prevent the buyer from using the goods already transferred, since their quality does not suffer from such a violation.

The seller is obliged to transfer to the buyer the goods, the quality of which complies with the terms of the contract of sale.

The condition on the quality of the goods is one of the usual conditions of the contract and in most cases is established by the parties themselves. At the same time, the quality of a product can be determined in various ways: by sample, by description, based on a standard, by preliminary inspection.

In the absence in the contract of quality, the seller is obliged to transfer to the buyer the goods suitable for the purposes of its normal use. As a result of the inclusion of the moment (purpose) of the acquisition of goods in the contract, it acquires the character of its essential condition.

The quality of the product cannot be invariably eternal, therefore it is important to determine the period of time during which it will be sufficient for the normal use of the thing.

Warranty periods can be established both by agreement of the parties to the contract (as well as by the manufacturer of the goods), and by the mandatory requirements of regulatory enactments (primarily GOSTs).

If there is no warranty period for the product, then the product must be suitable for the purposes for which such products are usually used, within a reasonable period.

As a general rule, the warranty period begins to run from the moment the goods are handed over to the buyer. However, if the buyer was not able to use the purchased goods due to circumstances depending on the seller (including because of the defects found in it), the warranty period is suspended for the entire duration of the relevant obligations.

The expiration date runs from the date of manufacture of the goods, it is always determined by units of time (period, date).

The expiration date is determined by regulatory enactments and cannot be changed either by the manufacturer or by the parties to the sales contract.

As a general rule, the seller is liable only for defects in the goods that arose before the moment of its transfer to the buyer, or for reasons that arose up to that moment.

The buyer's claims to the quality of the goods can be made under the appropriate conditions, and are subject to satisfaction only if the defects in the goods were discovered within the time limits stipulated.

The presence of ordinary defects in the thing sold enables the buyer to demand a commensurate reduction in the purchase price, or free elimination of the defects in the goods within a reasonable time, or reimbursement of his own expenses for the elimination of defects.

The discovery of significant defects in the goods additionally gives the buyer the right to terminate the contract, or to replace the defective goods with a good-quality one.

The seller is obliged to transfer to the buyer the goods free of rights that do not have third parties, unless the latter agrees with the existence of such encumbrances. One of the main distinguishing features of the sale and purchase is the obligation of the seller to transfer ownership of the thing to the buyer.

The conditions for the transfer of the thing, free from the rights to it of third parties, is a normal condition of the contract of sale.

In case of violation of this condition, the buyer has the right to demand termination of the purchase and sale agreement, or a commensurate reduction in the price of goods encumbered by the rules of third parties. The specified requirement is subject to satisfaction, unless the seller proves that the buyer himself knew or should have known about the existence of these rights.

As a general rule, the seller is obliged to transfer the goods to the buyer in containers or packaging (clause 1 of article 434 of the Civil Code).

The obligation to fill or pack the goods can be established both by agreement of the parties to the purchase and sale agreement, and by virtue of the mandatory provisions of the law. The buyer has the right to demand accordingly:
